Curium has agreed to acquire Lantheus Holdings in a transaction valued at up to $8 billion, creating what the companies call a global radiopharmaceutical leader spanning oncology, neurology and cardiology. Under the terms, Curium US Holdings will pay $102.50 per share in cash at closing, plus contingent value rights of up to $12 per share tied to commercial milestones through 2030.
It is the largest deal in radiopharmaceutical sector history. Curium brings established manufacturing and distribution networks across Europe and the Asia Pacific region. Lantheus contributes a strong United States commercial presence built around products including its PSMA targeted imaging agent.
The Lantheus board unanimously approved the transaction, which values the company at a 38 percent premium to its unaffected 60 day volume weighted average share price. That premium signals how much strategic value the market places on scale in this sector right now.
Together, the combined company is positioned to serve patients across more than 70 countries, with infrastructure spanning the full radiopharmaceutical value chain from isotope sourcing through manufacturing and commercial distribution. The deal follows a year of consolidation pressure as companies weigh the capital intensity of standalone radiopharmaceutical manufacturing against the advantages of scale.
Lantheus reported second quarter worldwide revenue of $388.2 million ahead of the merger announcement, underscoring the commercial base Curium is acquiring. Industry observers expect the combination to intensify competitive pressure on other diagnostic and therapeutic radiopharmaceutical suppliers as scale increasingly becomes a determining factor in manufacturing reliability and global distribution reach.
